How Major Fraud can Impact Your Investing
with Professor Jim Park, UCLA School of Law

Public companies now face constant pressure to meet investor expectations. The typical public company must continually deliver strong short-term performance every quarter to maintain its stock price. This valuation treadmill creates incentives for corporations to deceive investors. Drawing on case studies of securities enforcement actions, Professor Park shows that corporate securities fraud has emerged and that investors increasingly value companies based on unrealistically optimistic disclosure future performance. This presentation will help you recognize and avoid security fraud.

Professor Park is Professor of Law at UCLA School of Law. He is a leading expert on securities regulation and corporate law. After graduating from Yale Law School, Professor Park clerked for federal judges in the Southern District of New York and U.S. Court of Appeals for the Second Circuit. He practiced law in New York City at a law firm and then as an Assistant Attorney General in the Investor Protection Bureau of the New York State Attorney General's Office.

Professor Park is the author of The Valuation Treadmill: How Securities Fraud Threatens the Integrity of Public Companies (Cambridge University Press 2022).
